Membership Terms and Conditions for Buyers These Membership Terms and Conditions ("Terms") govern the relationship between the Buyer ("Buyer") and TradeGate ("Company") regarding the provision of trade support, quotes, and introductions to suppliers. By purchasing a membership with TradeGate, the Buyer agrees to adhere to these Terms. 1. Membership Services 1.1. Trade Support: The Company will provide trade support to the Buyer, including guidance, advice, and assistance in sourcing products or services from suppliers. 1.2. Quotes: The Company will provide the Buyer with quotes from suppliers based on the Buyer's requirements and specifications. 1.3. Introductions to Suppliers: The Company will introduce the Buyer to potential suppliers based on the Buyer's needs and preferences. 2. Quality of Supply Leads 2.1. The quality of supply leads generated is subject to the Buyer's purchase capabilities and procedural requirements. 2.2. Buyers acknowledge that strict requirements may result in fewer sellers able to work with them. 3. Industry Standards and Expectations 3.1. TradeGate endeavors to provide the best possible offers for the Buyer. 3.2. However, there are no guarantees, especially when Buyer's expectations on payment terms or prices are not in line with industry standards or live price indexes. 4. Limitations and Abuse 4.1. While there are no limitations on the number of quotes or the support provided to Buyers, the Company reserves the right to monitor the usage of these services. 4.2. Any abuse of the number of quotes provided or unrealistic expectations from the Buyer may result in limitations being placed on their services or the number of quotes offered by the Company. 4.3. Continued non-performance by the Buyer, including but not limited to failure to engage with provided quotes or suppliers, may result in restrictions on the services offered by the Company. 5. Membership Fees 5.1. The Buyer agrees to pay the membership fees as outlined in the membership agreement. 5.2. Membership fees are non-refundable except as provided by law or as stated in the membership agreement. 6. Confidentiality 6.1. The Buyer acknowledges that any information provided to the Company during the course of their membership may be confidential and agrees to keep such information confidential. 7. Termination 7.1. The Company reserves the right to terminate the Buyer's membership at any time for any reason, with or without cause. 7.2. In the event of termination, the Buyer shall not be entitled to a refund of any membership fees paid. 8. Amendments 8.1. The Company reserves the right to amend these Terms at any time. Any amendments will be communicated to the Buyer in writing. 8.2. Continued use of the Company's services after amendments to these Terms shall constitute acceptance of the amended Terms by the Buyer. 9. Governing Law 9.1. By registering as a member with TradeGate, the Seller agrees to adhere to these Terms. 1. **Membership Services** 1.1. **Initial Membership**: Authorized Sellers can become members for free. 1.2. **Verification Period**: During the first 30 days, Sellers must work with TradeGate to satisfy due diligence requirements to become a verified Supplier. 2. **Due Diligence Requirements** 2.1. Sellers must undergo a due diligence process, including but not limited to: - A telephone or video call. - Verification of company registration documents and trade documents. - Verification of their manufacturing or supply facility and capabilities. 2.2. Failure to satisfy TradeGate's due diligence requirements may result in membership revocation until the Seller's account and status are satisfactorily verified. 3. **Quality and Compliance** 3.1. Once verified, Sellers must ensure all trades are carried out in a diligent, honest, and compliant manner. 3.2. Sellers are expected to adhere to industry standards and TradeGate's terms of service at all times. 4. **Termination and Suspension** 4.1. TradeGate reserves the right to terminate or suspend the Seller's membership at any time for any reason, with or without cause. 4.2. In cases of non-compliance or failure to meet due diligence requirements, the Seller's membership may be revoked until compliance is achieved. 5. **Confidentiality** 5.1. The Seller acknowledges that any information provided to the Company during the course of their membership may be confidential and agrees to keep such information confidential. 6. **Amendments** 6.1. The Company reserves the right to amend these Terms at any time. Any amendments will be communicated to the Seller in writing. 6.2. By registering as a member with TradeGate, the Worker agrees to adhere to these Terms. 1. **Membership Services** 1.1. **Initial Membership**: Authorized Workers (brokers, representatives, or "mandates") can become members for free. 1.2. **Verification Period**: During the first 30 days, Workers must work with TradeGate to satisfy due diligence requirements to become a verified Worker. 2. **Due Diligence Requirements** 2.1. Workers must undergo a due diligence process, including but not limited to: - A telephone or video call. - Verification of their professional credentials and documentation. - Verification of their role and capacity to broker deals. 2.2. Failure to satisfy TradeGate's due diligence requirements may result in membership revocation until the Worker's account and status are satisfactorily verified. 3. **Professional Conduct and Compliance** 3.1. Workers must operate according to these Terms and must not misrepresent their position, any deal, or the terms and conditions of sale. 3.2. Workers are required to conduct themselves professionally and in accordance with all applicable local and international laws. 3.3. All trades and negotiations must be carried out diligently, honestly, and compliantly. 4. **Misrepresentation and Breaches** 4.1. Any misrepresentation of position, deals, or terms and conditions of sale is strictly prohibited. 4.2. Breach of these Terms, including fraud or fraudulent misrepresentation, can lead to account suspension or termination. 4.3. Serious breaches may result in an internal investigation or legal action. 5. **Termination and Suspension** 5.1. TradeGate reserves the right to terminate or suspend the Worker's membership at any time for any reason, with or without cause. 5.2. In cases of non-compliance or failure to meet due diligence requirements, the Worker's membership may be revoked until compliance is achieved. 6. **Confidentiality** 6.1.
